Disclaimer:    Any party who submits "Materials" (as such term is defied hereinbelow) hereunder warrants and represents that such party owns and/or controls any and all rights in and to the master recording(s) ("Masters"), and  owns, controls and/or administers 100% of the copyright in each of the musical compositions embodied in the applicable Master ( "Compositions").  The Master(s), together with the corresponding Composition(s) embodied therein, are collectively the "Materials."  Please do not make any submissions unless you own and control 100% of all Materials submitted.

Warranties and Representations:    Any party who submits Materials warrants and represents that (i) such party has full power and authority to submit such Materials and that he/she owns and controls the rights in the Materials being submitted; (ii) all elements of the Materials are either original with the party who is submitting the Materials or have been fully cleared by the party submitting the Materials;  (iii) any and all Materials submitted are free and clear of any liens or claims; and (iv) our use of any Materials being submitted hereunder will not give rise to any claims including, but not limited to, claims of infringement, invasion of privacy or publicity or claims for payment of any kind.

Indemnification:    Any party submitting Materials (the "Indemnifying Party") shall indemnify and hold harmless the owners, operators, employees and/or designees of the "Give To The Gulf" Web site as well as their parents, successors, assigns and licensees (the foregoing parties individually and collectively referred to herein as the "Indemnified Parties") from and against any and all losses, damages, liabilities, reasonable attorneys' fees and costs, actions, suits, other claims arising out of  the Indemnified Parties exercise of such rights, or the Indemnifying Parties breach or alleged breach, in whole or in part, of the foregoing representations and warranties.  The Indemnifying Party shall reimburse the Indemnified Parties upon demand for any payment made by the Indemnified Parties at any time with respect to such losses, damages, liabilities, attorneys' fees and costs, actions, suits or other claims to which the foregoing indemnity applies.
